Unlocking Efficiency: Why Every SaaS Attorney Needs a Clause Library

As a SaaS attorney, efficiency is key. That's why I've found having a clause library indispensable in my practice.


In my younger days as an attorney, I would spend countless hours digging through old agreements searching for that perfect language I once used. I romanticized certain clauses so much that I preferred searching for hours rather than rewriting them.


It made absolutely no sense because rewriting them would take a quarter of time and ended up being more relevant to the contract I was currently working on.


It was like holding onto an old relationship, remembering all the good times and believing that those moments were the best I'd ever have.


In SaaS transactions, the same or similar edits and issues will be raised from transaction to transaction. This is especially true for in-house attorneys in enterprise SaaS companies.


So instead of reinventing the wheel with each contract, keep a well-curated clause library that you can go back to when you think that you have done something similar in the past.


If you are really lazy…like me…then don’t curate it and just cut and paste it into a document, and search in that document later.


It will save you valuable time and satisfy that nagging feeling that you get when you think a better answer lies somewhere else.


A clause library isn't just a convenience—it's a massive time saver.
